These Terms of Service (“Terms”) govern your access to and use of our website located at https://www.therespiratorynetwork.co.uk, our services, events, members’ community, and any related content or functionality (collectively, the “Services”).

b) You have the legal capacity to enter into a binding agreement;
c) You will comply with these Terms and all applicable laws and regulations;
d) If you are accessing the Services on behalf of an organisation, you have the authority to bind that organisation to these Terms.
To access certain features of our Services, including the members’ community, you may be required to register for an account. When registering, you agree to:
a) Provide accurate, current, and complete information;
b) Maintain and promptly update your account information;
c) Keep your login credentials secure and confidential;
d) Accept responsibility for all activities that occur under your account.
You must notify us immediately at events@therespiratorynetwork.co.uk if you become aware of any unauthorised use of your account or any other breach of security. We shall not be liable for any loss arising from unauthorised use of your account. You are responsible for maintaining the confidentiality of your login credentials and for restricting access to your account (for example, by logging out of shared devices). You must not share your account with others or allow others to access the Services using your account.
You may use the Services only for lawful purposes and in accordance with these Terms. You agree to use the Services in a manner consistent with their intended purpose of fostering professional, respectful dialogue and collaboration in respiratory care, including where patients, healthcare professionals, NHS leaders, and Life Sciences professionals interact.
You agree not to:
a) Use the Services for any unlawful purpose or in violation of any applicable laws or regulations;
b) Post, upload, or transmit any Content that is defamatory, obscene, offensive, hateful, discriminatory, harassing, abusive, threatening, or otherwise objectionable;
c) Impersonate any person or entity or misrepresent your affiliation with any person or entity;
d) Interfere with or disrupt the Services or servers or networks connected to the Services;
e) Attempt to gain unauthorised access to any part of the Services, other accounts, or computer systems;
f) Use the Services to collect or harvest personal information about other Users without their consent;
g) Use the Services for any commercial solicitation purposes without our prior written consent;
h) Transmit any viruses, malware, or other harmful code;
i) Engage in any conduct that restricts or inhibits any other User from using or enjoying the Services;
j) Breach any applicable codes of conduct, including those relating to healthcare professionals and the pharmaceutical industry (such as the ABPI Code of Practice);
k) Share, upload, disclose, or otherwise make available any confidential information or any patient identifiable information / personal data about a patient or any other individual (including but not limited to names, dates of birth, NHS numbers, addresses, photographs, contact details, or any combination of information that could identify an individual). If you are a patient or carer, you should not share information that identifies you or anyone else;
l) Post or request personal medical advice, diagnosis, or treatment recommendations for yourself or for any other individual through the Services;
m) Use the Services in a way that could reasonably be perceived as creating or soliciting a doctor-patient (or other clinician-patient) relationship, or as providing regulated clinical advice;
n) Use the Services to disclose information that you are not authorised to share (including information belonging to your employer, the NHS, a Life Sciences organisation, or another third party), or to breach confidentiality obligations.
You are solely responsible for any Content you submit, post, share, or display through the Services (including in the members’ community, via event participation, or in any related communications). You represent and warrant that you own or have the necessary rights, licences, and permissions to use and authorise us to use such Content.
You must ensure that any Content you share complies with these Terms, including the Acceptable Use rules and the prohibition on sharing confidential information and patient identifiable information / personal data.
By submitting Content through the Services, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, modify (for example, formatting or redaction), adapt, publish, translate, distribute, and display such Content in connection with operating, safeguarding, improving, and promoting the Services and producing insights from community discussions and events.
We may create summaries, insights, analyses, reports, learnings, anonymised outputs, and other materials based on participation in the Services (including round tables, expert panels, events, and the members’ community) (“Outputs”). Unless otherwise agreed in writing, all intellectual property rights in the Outputs will be owned by Healthcare Insight Solutions Ltd.
Where we publish or share Outputs, we will aim to do so in a way that does not identify individual participants and does not include patient identifiable information. You acknowledge that the Services involve group discussion and that we cannot guarantee that other Users will not repeat or misattribute statements made in discussions.
We reserve the right, but have no obligation, to monitor, review, edit, redact, or remove any Content at our sole discretion, including Content that we determine violates these Terms or is otherwise objectionable, and to suspend or terminate accounts in accordance with these Terms.
Registration for our round tables, expert panels, and other events may be subject to additional terms and conditions, which will be communicated to you at the time of registration.
Our cancellation and refund policies for paid events will be specified at the time of booking. We reserve the right to cancel, postpone, or modify events at our discretion, in which case we will notify registered participants and provide appropriate remedies.
Participants at our events are expected to behave professionally and respectfully towards all attendees, speakers, and staff. We reserve the right to remove any participant whose conduct we deem inappropriate or disruptive.
The Services, including all Content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software), are owned by Healthcare Insight Solutions Ltd or its licensors and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial use.
You may not:
a) Copy, modify, or distribute any part of the Services without our prior written consent;
b) Use our trademarks, logos, or branding without our prior written permission;
c) Remove, alter, or obscure any copyright, trademark, or other proprietary notices.

e) Your attendance at, participation in, or inability to attend any Event, including any decisions made based on discussions at Events;
f) Any third-party websites, services, or resources linked to or accessed through the Services.
TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).
Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law. These Terms do not affect your statutory rights as a consumer.
You agree to indemnify, defend, and hold harmless Healthcare Insight Solutions Ltd and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

c) Your violation of any rights of any third party;

This may include (without limitation) removing you from the members’ community, restricting your ability to attend Events, or removing Content you have posted, where we reasonably believe it is necessary to protect other Users, maintain a respectful and compliant environment, or address inappropriate, unlawful, or unsafe behaviour (including sharing confidential information or patient identifiable information).
Upon termination:
a) Your right to use the Services will immediately cease;
b) We may delete your account and any Content associated with it (subject to applicable law and our legitimate business needs, including record-keeping and compliance);
c) Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and this Termination clause.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the “Effective Date” above. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
You agree that any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
